Philadelphia, Jan. 26, 2015 — Cozen O’Connor is pleased to announce that Ellen Canan Grady has joined the firm as a member in the corporate securities practice. She is resident in the Philadelphia office. Ms. Grady was most recently corporate counsel with Safeguard Scientifics, Inc., a New York Stock Exchange traded public company with 24 private partner companies in the health care and technology sectors. She has more than 25 years of experience counseling executives, directors, corporate boards of directors, entrepreneurs and businesses in a wide variety of industries and stages of development. In addition, she also has substantial experience in corporate governance, advising public companies regarding SEC and NYSE reporting issues, public equity and debt issuances, private offerings, and corporate transactions including mergers and acquisitions. Prior to Safeguard, Ms. Grady was a partner with Pillsbury Winthrop Shaw Pittman.

At Safeguard Scientifics, Ms. Grady was responsible for SEC periodic reporting under the Exchange Act and registration statements under the Securities Act. She also oversaw New York Stock Exchange listing applications and compliance, as well as preparation of corporate charters and policies. She prepared materials for the meetings of the company’s Board of Directors and committees and coordinated with investor relations and corporate communications. Ms. Grady was also charged with reviewing and negotiating corporate contracts, among other duties.
At Pillsbury Winthrop, she worked as an associate, counsel and partner in the Corporate, Securities and Technology Group. Earlier in her career she launched a solo practice providing transactional and corporate legal services. A member of the American Bar Association’s Corporate Governance Committee, she co-chairs the Corporate Governance Committee’s Corporate Counsel Subcommittee. She is also a co-editor of CGC In Sight, the quarterly publication of the ABA Corporate Governance Committee
An avid long-distance runner, Ms. Grady is training for the 2015 Boston Marathon. She earned her J.D. from the University of Pennsylvania Law School and her B.A., magna cum laude, from Allegheny College.
