This podcast will focus on two recent SEC public finance enforcement actions that reflect a common theme - issuers are liable under the securities laws for material misstatements or omissions made outside of an official statement or other offering document. This podcast is intended for issuers, borrowers and other market professionals.

  • An SEC matter that relates to a proceeding against the city of South Miami, Fla., and the related settlement.
  • The common theme relating to the above two topics: issuers can violate the federal securities laws based upon material misstatements and omissions  made outside of an official statement or similar offering document prepared in connection with the issuance and/or sale of bonds.
