Colin advises clients on a variety of corporate transactions, including mergers and acquisitions, asset sales, stock purchases, venture capital financings, convertible notes, debt financings, initial public offerings, follow-on, and registered direct offerings.
Colin advises public companies on matters related to SEC regulatory compliance and corporate governance issues ranging from employment compensation, fundraising strategy, data security, privacy, and intellectual property issues, and prepares agreements such as stockholders' agreements, employment agreements, non-competition agreements, and stock option plans. He also has experience drafting complex securities documents and preparing 1934 Act Filings.
Prior to joining the firm, Colin was an associate with two Minnesota-based law firms and was in-house counsel to an innovative oil and gas industry startup in Minneapolis. Colin also brings two years of business experience as a private equity analyst with a Minnesota-based investment firm and as an investment analyst with a Canadian commercial real estate services company.
Colin earned his bachelor's degree cum laude from the College of St. Scholastica, where he majored in economics and business management. He earned his law degree from the University of St. Thomas School of Law, where he was the recipient of a Dean's Scholarship and was the president of the Corporate Business Law Society.
Colin played NCAA hockey in college and enjoys volunteering with the Special Olympics, USA Hockey, and Hockey Canada.
