Joel works with entrepreneurs and emerging growth companies from entity formation through exit.
Joel regularly counsels companies and investors in a variety of capital raising transactions including angel, seed, venture capital, growth equity, and strategic financing transactions. A particular focus of his practice involves early stage investments using convertible debt and other convertible financing instruments. In connection with private placements and capital raising transactions, he also advises clients on compliance with federal and state securities laws.
As outside general counsel to emerging growth companies, Joel advises clients on the legal issues they face in their day-to-day business operations. He also represents buyers and sellers in a variety of mergers and acquisitions transactions.
Prior to joining Cozen O’Connor, Joel worked for the law firm of Baer Crossey McDemus LLC representing emerging growth companies, venture capital investors, and technology companies in a variety of venture capital financing transactions, mergers and acquisitions, and as outside general counsel.
Joel earned his law degree from the Drexel University Thomas R. Kline School of Law with a concentration in business and entrepreneurship law. He was president of the Business Law Organization, a competitor on the Transactional Lawyering Team, and served local entrepreneurs through the Entrepreneurial Law Clinic.
