Jeff’s practice includes acting as a trusted adviser to clients in a number of industries, with a primary focus on companies in the health care and information technology industries. He regularly advises clients on mergers and acquisitions, capital formation in the private and public markets, joint ventures, technology development and licensing agreements, corporate governance, and regulatory compliance. His strategic transactions experience includes representing public and private buyers and sellers (both strategic and financial buyers), investors, stockholders, and management in all types of transactions, including M&A, private equity transactions, corporate reorganizations, divestitures, and distressed transactions.
Jeff has a strong background in securities and corporate finance matters where his representative experience includes advising issuers, underwriters, and venture capital and private equity funds in transactions ranging from private placements to minority and control investments to public equity offerings. He also regularly advises clients with respect to corporate governance matters, regulatory compliance, and executive compensation. In addition, Jeff has advised boards of directors and board committees on the conduct of internal investigations and responding to regulatory bodies exercising investigative powers.
Some unique aspects of Jeff’s background are that he has extensive experience across the spectrum of the health care supply chain, from medical device and pharmaceutical manufacturers, to digital therapeutics and telehealth services providers, and helped pioneer the development of consumer-driven and wellness products and services in the health care benefits area. He has also held business development and operational roles in the digital health arena and has served on the board of directors of several health care services and benefits companies. Jeff’s information technology practice includes representation of companies providing a wide variety of software, hardware, and telecommunications products and services.
Jeff earned his bachelor’s degree, cum laude, from Gustavus Adolphus College. He did post-graduate course work in finance and accounting at University of Minnesota, Carlson School of Management. Jeff earned his law degree, cum laude, from University of Minnesota Law School, where he was on Dean’s list and was a Moot Court member.
