Jessica Whitton

Associate

Jessica is a corporate lawyer who advises on private and public mergers and acquisitions and capital markets transactions across regulated and growth-oriented industries.

Her practice includes strategic M&A, platform and add-on acquisitions, share and asset transactions, tax-driven reorganizations, and structured buy-ins, buy-outs, earn-outs, and preferred return arrangements. She also advises issuers, underwriters, and shareholders on domestic and cross-border financings, restructurings, reverse takeovers, go-public and go-private transactions, and exchange listings. Jessica has experience with representation and warranty insurance-backed transactions, including complex risk allocation and recourse mechanics.

Before joining the firm, Jessica served as lead transactional counsel to one of Canada’s largest dental acquisition platforms, where she led high-volume, national M&A in a regulated health care environment. She executed more than 40 private M&A transactions annually while advising senior leadership on acquisition strategy, governance architecture, and scalable transaction infrastructure to support continued national expansion.

Jessica earned her Bachelor of Laws from the University of Southampton and received her Bachelor of Arts from Queen’s University.
