Mark helps emerging growth companies, venture capital investors, founders, and boards of directors navigate complex transactions and corporate governance matters. Leveraging his own experience as a founder, he serves as outside general counsel to startups and other high-growth businesses throughout all stages of the corporate life cycle, from formation and financing through strategic transactions and exits.
Mark has extensive experience representing companies and investors in debt and equity financings, mergers and acquisitions, corporate restructurings, and day-to-day corporate matters. His transactional experience includes negotiating and drafting preferred and common stock purchase agreements, convertible debt instruments, financing term sheets, investor rights agreements, voting agreements, shareholder agreements, operating agreements, and complex acquisition documents.
In addition to his financing and M&A practice, Mark counsels founders and boards on corporate governance, equity incentive programs, employee equity grants, tender offers, secondary transactions, and other strategic business matters. He regularly works with executive, financial, and legal teams to navigate growth initiatives and achieve business objectives. Mark also has experience advising blockchain and digital asset clients on decentralized governance structures, token issuances, and related corporate matters.
Before joining Cozen O'Connor, Mark practiced with a leading international law firm. Prior to practicing law, he founded and led a consumer products company, overseeing a team of 10 employees and successfully growing the business before its acquisition. This firsthand business experience provides him with a practical perspective when advising entrepreneurs, executives, and investors.
Mark earned his law degree from Georgetown University Law Center and his bachelor of science degree in business, graduating magna cum laude, from Post University.
