Cozen O’Connor Adds Corporate and Venture Capital Attorney Mark Kahn to its Florida Corporate Practice

MIAMI, September 8, 2026 – As part of its ongoing expansion in South Florida, international law firm Cozen O’Connor welcomes startup attorney Mark Kahn to its Corporate Practice Group. With billions of dollars in transactions under his belt, Kahn serves as outside general counsel to a range of startups in connection with equity and debt financings, mergers and acquisitions (M&A), employee equity grants, and corporate governance matters. He joins Cozen O’Connor as a member and will work out of its Miami office. Kahn is the sixth new member to join Cozen O’Connor in South Florida, following James J. Duffy, Adam K. Hodges, Andrew M. Lowenstein, and David I. Spector, who joined the Commercial Litigation group in March; and Raphael (Raffi) Rosenzweig, who joined the Corporate practice in June.

Kahn comes to the firm from Sheppard and focuses his practice on startups, growth-stage companies, and venture capital investors. He provides legal and strategic guidance to clients in a variety of industries on venture capital, growth equity, and other complex commercial transactions. Kahn draws on his own experience as a startup founder who built and exited a company, and as an active angel investor, giving him an operator's-eye view of the deals on which he advises.

Kahn’s legal background also includes advising blockchain and digital asset clients, helping them structure token rights, and handling various corporate matters involving restricted token and token warrant issuances.

Working closely with the client’s legal, financial, and executive teams, Kahn negotiates and drafts preferred and common stock purchase agreements, convertible debt instruments, investor rights agreements, M&A transaction agreements, and shareholder and operating agreements. He advises founders and boards of directors on issuer sales and investor-led secondary transactions, tender offers, equity incentive plans, and employee equity grants.

Kahn earned his J.D. from Georgetown University Law Center and a B.S. in business management from Post University.
