PHILADELPHIA, July 22, 2026 – Cozen O’Connor advised the Rice and Lissette Family Entities, descendants of Utz’s founding family, in connection with the definitive agreement of Utz Brands, Inc. (NYSE: UTZ) (Utz), a leading U.S. manufacturer of branded salty snacks, and Intersnack Group GmbH & Co. KG (Intersnack Group), a family-founded, privately owned, multinational snack company, pursuant to which Intersnack will acquire all outstanding shares of Class A Common Stock of Utz for $14.25 per share in cash. The transaction, which will take Utz private, estimates the company at an enterprise value of $2.9 billion and reflects a premium of approximately 91% over Utz’s closing stock price on July 20, 2026. Upon closing, the Rice and Lissette Family Entities and Intersnack Group will each own 50% of Utz.
The transaction is expected to close in the fourth quarter of 2026, subject to the satisfaction of certain closing conditions. The Cozen O’Connor team is led by Larry P.
